
terms and conditions
These Terms and Conditions (“Agreement”) govern all services provided by THEAJM (“we”, “us”, or “our”) in relation to the supply of graphic design, animation, and related creative services. By commissioning or continuing to engage our services, you (“the Client”) acknowledge that you have read, understood, and agree to be bound by the following terms.
1. scope of work
1.1. The scope of the project, including deliverables, timelines, and any specific client requirements, will be outlined and agreed upon prior to the commencement of work.
1.2. Any work requested outside the agreed scope or beyond the initial project timeframe will be considered “Additional Work.”
1.3. In the case of Additional Work, we will discuss and agree a fair price with the Client before proceeding. No additional services will be undertaken without prior agreement on scope and cost.
2. fees, deposits & payment terms
2.1. A non-refundable deposit of 50% of the total project fee is required before any work will begin.
2.2. The remaining 50% balance must be paid within 10 calendar days of project completion and delivery.
2.3. If the balance is not paid within this 10-day period, a late payment fee of 10% of the total project cost will be added to the outstanding amount.
2.4. Final deliverables may be withheld until full payment is received.
3. revisions policy
3.1. The number of revision rounds (rounds of feedback) included in the project will be discussed and agreed upon prior to the start of work.
3.2. If all deliverables meet the requirements of the agreed brief, then any further revisions requested by the Client will be considered Additional Work and subject to separate charges, which will be discussed and agreed in advance.
3.3. All revision requests must be made within 7 calendar days of delivery of the relevant stage of work, unless otherwise agreed in writing.
4. client responsibilities
4.1. The Client agrees to provide all required materials, information, approvals, and feedback in a timely manner.
4.2. The Client warrants that all text, images, video, or other content provided do not infringe on the rights of any third party and are legally permitted for use. The Client indemnifies THEAJM against any claims related to content supplied by the Client.
5. intellectual property & usage rights
5.1. Upon receipt of full payment, the Client is granted a non-exclusive license to use the final deliverables for the agreed purpose.
5.2. All preliminary drafts, working files, project files, or source materials remain the sole intellectual property of THEAJM, unless otherwise agreed in writing.
5.3. THEAJM reserves the right to display the work in its portfolio, on social media, or for promotional use unless confidentiality is requested in writing prior to project commencement.
6. no speculative work
6.1. THEAJM does not engage in speculative work or unpaid design/animation samples for potential projects. All projects require a confirmed agreement and deposit before work begins.
7. cancellations
7.1. If the Client cancels the project after work has commenced, the deposit will be retained to cover the work completed and time allocated.
7.2. If THEAJM is unable to complete the project due to unforeseen circumstances, a partial refund may be issued based on uncompleted work.
8. limitation of liability
8.1. THEAJM will carry out services with reasonable care and skill, but makes no guarantees regarding performance or results.
8.2. We are not liable for indirect, incidental, or consequential damages resulting from the use of the final deliverables.
8.3. The Client is responsible for final approval and bears all responsibility for how the work is used after delivery.
9. force majeure
9.1. THEAJM shall not be held liable for any delay or failure in performance caused by circumstances beyond our control, including but not limited to illness, power outages, natural disasters, technical failures, or external disruptions.
10. non-disparagement
10.1. The Client agrees not to publicly defame, disparage, or misrepresent THEAJM, its services, or its reputation. Reasonable and professional communication will be used to address disputes.
11. governing low
This Agreement is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. acceptance
By engaging the services of THEAJM — including but not limited to providing a deposit, written or verbal confirmation, or continued instruction — the Client agrees to these Terms and Conditions in full. No formal signature is required for this Agreement to be valid and enforceable.
